Access to and Usage of the Qualiﬁed Products Lists and Other Data
We may, in our sole discretion, publish and provide access to the Electric Vehicle Charging Accessibility Network Qualiﬁed Products Lists and other data or information contained therein or related thereto (collectively, the “Data”). In the event that we provide you with access to the Data, except to the extent that you and the Company execute a separate

written agreement with respect to your use of the Data, the following provisions will apply to your access to and use of that Data:

You may access and use the Data solely for your own internal, non-commercial business purposes;
You shall not (i) access or use the Data for any commercial purpose, (ii) represent to any third party that any Data is your property (proprietary or otherwise), or (iii) make available any Data to any third party unless expressly permitted herein;
Except as expressly permitted herein, if you desire that any third party be allowed to access or use the Data on your behalf hereunder, including to provide you with any service: (a) you shall ﬁrst request permission from us in writing to do so; (b) such access or use shall not be permitted unless expressly approved in writing in advance by us (provided that, such approval may be withheld by the Company in its sole discretion, and may be subject to requirements speciﬁed by the Company from time to time, such as the third party entering into a data use agreement or other agreement with us); and (c) you agree to be responsible for such third party’s compliance with the terms hereunder;
In addition to all other restrictions on the usage of the Website, you shall not:

Access or use any Data except as expressly permitted herein;
Disclose, distribute, or otherwise transfer any Data to any third party except as expressly permitted herein or otherwise agreed to in a writing;

similar to, derivative of, or a substitute or alternative for, any Data, including any of the foregoing that contains any Data except as expressly permitted herein;

Remove any proprietary notices on or in any Data except as expressly permitted herein;
Use any Data in an illegal or fraudulent manner (including any use in violation of any laws, rules, or regulations concerning export control);
Take any action that imposes or may impose an unreasonable or disproportionately large load on the Company’s Data systems or any related infrastructure, or bypass any measures the Company may use to prevent or restrict access to any portion of the Data (or other accounts, networks, services, data, or other information connected or related thereto);
Otherwise interfere in any manner with the use or operation of the Data systems or any related infrastructure; or
Use manual or automated software, devices or other processes to “crawl,” “scrape” or “spider” any of the Data or otherwise to copy, obtain, propagate, distribute, or misappropriate any data or other information or content from the Data except as expressly permitted herein.

Except for the rights expressly granted herein, the Company retains all right, title, and interest in and to the Data and you will have no other right, title, or interest therein, whether express or implied, and the Data is, and will continue to be, in its entirety, the sole property of the Company or its licensors or other providers, as applicable;
You acknowledge that the Data has been created, compiled, developed, and maintained at great expense of time and money, may contain certain trade secrets and conﬁdential information, and is the proprietary property of the Company, and you therefore agree not to use any Data except as expressly permitted herein, and not to disclose any Data, or any other information provided by the Company relating to the Data, to (a) any employee who does not have a need to know for the purpose of exercising your rights hereunder, or (b) any unauthorized third party; and
Access to and use of the Data is provided in the discretion of the Company, and the Company may therefore terminate, modify, or reduce your access to or use of the Data at any time for any reason or no reason, with or without prior notice.

Trademarks
The Company name, the terms Efficiency Forward and Electric Vehicle Charging Accessibility Network, the Company logo and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors.
You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.
Prohibited Uses
You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identiﬁable information or otherwise.

Remove or refuse to post any User Contributions for any or no reason in our sole discretion.

Indemniﬁcation

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Massachusetts without giving effect to any choice or conﬂict of law provision or rule (whether of the Commonwealth of Massachusetts or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Massachusetts, in each case located in the City of Boston and County of Suffolk, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Waiver and Severability
No waiver of by the Company of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
